1. Acceptance of Terms
By accessing or using the CLT Food Truck Events website located at cltfoodtruckevents.com (the "Platform"), operated by CLT Food Truck Events ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and the Company, governed by the laws of the State of North Carolina.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
2. Description of Services
CLT Food Truck Events is an online marketplace platform that connects food truck operators, caterers, and venue/location owners in the Charlotte, North Carolina metropolitan area. The Platform facilitates the discovery, communication, and booking of time slots at various venues for food truck and catering events. We act solely as an intermediary connecting these parties and do not operate, own, or manage any food truck, catering service, or venue listed on the Platform.
3. User Accounts & Eligibility
To use certain features of the Platform, you must register for an account. You must be at least 18 years of age and have the legal capacity to enter into binding contracts under North Carolina law. By creating an account, you represent and warrant that:
(a) All information you provide during registration and at all times thereafter is truthful, accurate, current, and complete; (b) You will maintain and promptly update your account information to keep it accurate and current; (c) You are authorized to act on behalf of the business entity you register, if applicable; (d) You will maintain the confidentiality of your account credentials and are responsible for all activity under your account; (e) You will notify us immediately of any unauthorized access to or use of your account.
We reserve the right to suspend or terminate any account at our sole discretion, including but not limited to accounts that violate these Terms, engage in fraudulent activity, accumulate excessive cancellations or complaints, or that we reasonably believe pose a risk to other users or the Platform.
4. User Types & Responsibilities
Food Truck Operators: You represent and warrant that you hold all required licenses, permits, and insurance necessary to operate a food truck in the Charlotte, NC area and the State of North Carolina. This includes, but is not limited to, a valid North Carolina mobile food unit permit, health department permits, Mecklenburg County business license, and a current Certificate of Insurance (COI) with general liability coverage. You are solely responsible for compliance with all applicable federal, state, and local laws, regulations, and health codes, including N.C.G.S. Chapter 130A (Public Health) and all rules promulgated by the North Carolina Department of Health and Human Services.
Caterers: You represent and warrant that you hold all required licenses, permits, and insurance necessary to provide catering services in North Carolina. You are solely responsible for food safety, preparation standards, and compliance with all applicable health regulations.
Venues/Locations: You represent and warrant that you have the legal authority to offer your location for food truck events, including all necessary permits, zoning approvals, and property owner authorization. You are solely responsible for ensuring your venue complies with all applicable local ordinances, fire codes, health regulations, and ADA accessibility requirements.
5. Bookings & Payments
Booking Process: Food truck operators may apply to available time slots posted by venues. Venues review applications and may approve or deny them at their sole discretion. An approved booking requires payment of a non-refundable booking fee of $15.00 USD ("Booking Fee") to confirm the reservation. A booking is not confirmed until the Booking Fee has been successfully processed.
Payment Processing: All payments are processed securely through Stripe, Inc., a third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy. We do not store your complete credit card information on our servers. All payment data is transmitted using industry-standard SSL/TLS encryption.
Booking Fees: The $15.00 Booking Fee is a platform service fee charged to the food truck operator for facilitating the booking. This fee is earned upon confirmation and is generally non-refundable. Venues are not charged any fees for using the Platform.
Refund Policy: Booking Fees are non-refundable except in the following circumstances: (a) the venue cancels the time slot after payment has been made; (b) there is a documented technical error in payment processing; or (c) as otherwise determined at our sole discretion. Refund requests must be submitted to support@cltfoodtruckevents.com within 14 days of the transaction. Approved refunds will be processed to the original payment method within 5–10 business days.
Cancellation Policy: Either party may cancel a confirmed booking through the Platform. Cancellations made within 48 hours of the scheduled event may result in a strike against the cancelling party's account. Accumulation of strikes may result in account suspension or termination. The Booking Fee is not refunded for cancellations initiated by the food truck operator.
6. Sponsored Listings & Sponsored Events
Sponsored Listings (Food Trucks & Caterers): Food truck operators and caterers may purchase a Sponsored Listing to appear at the top of the Food Trucks page and the homepage for a defined period. Sponsorship is charged at a flat rate of $25.00 USD per day, for a duration of 1 to 30 days selected at the time of purchase. Up to three (3) sponsored truck slots are available at any time. If all slots are full, users may join a waitlist and will be notified by email and SMS when a slot becomes available. Notified users have twenty-four (24) hours to claim and pay for the slot before the opportunity is passed to the next person on the waitlist.
Sponsored Events (Venues): Venue operators may purchase a Sponsored Event to elevate a specific time slot to a featured position at the top of the homepage and events listings. Sponsored Events are priced at $25.00 USD per day (for 1–6 days) or $100.00 USD per week (for 1–4 weeks). If the event date occurs before the end of the purchased sponsorship window, the sponsorship expires at the event date with no adjustment or refund for the unused portion.
All Sponsorship Fees Are Non-Refundable. All fees paid for Sponsored Listings and Sponsored Events are final and non-refundable under all circumstances, including but not limited to: early cancellation of the listing or event, failure to attract bookings, account suspension, voluntary withdrawal from the Platform, or dissatisfaction with placement results. By completing a sponsorship purchase, you expressly acknowledge and agree that no refund will be issued for any reason.
Sponsorship Placement: We do not guarantee any specific outcome, including number of views, inquiries, bookings, or revenue resulting from a sponsored placement. Sponsored positions are displayed in good faith based on platform activity and availability at the time of purchase. We reserve the right to modify the sponsorship program, pricing, slot limits, and display rules at any time with reasonable notice.
Admin Sponsorships: We reserve the right to grant complimentary sponsored placements at our sole discretion for promotional, partnership, or administrative purposes. Such placements do not affect the availability of paid sponsorship slots.
7. Venue Invites
Venues may send direct invitations to food truck operators for specific time slots. Acceptance of an invite creates a booking subject to all terms herein, including payment of the Booking Fee. Food truck operators may accept or decline invitations at their discretion.
8. Disclaimer of Warranties & Limitation of Liability
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY NORTH CAROLINA LAW AND APPLICABLE FEDERAL LAW, IN NO EVENT SHALL CLT FOOD TRUCK EVENTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIFTEEN DOLLARS ($15.00 USD).
9. Indemnification
You agree to indemnify, defend, and hold harmless CLT Food Truck Events, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your content or information submitted to the Platform; (e) any dispute between you and another user of the Platform; (f) any food safety issue, personal injury, property damage, or other harm arising from a food truck event, catering service, or venue use facilitated through the Platform; (g) your failure to maintain required licenses, permits, or insurance.
10. Platform Role & Third-Party Relationships
CLT Food Truck Events is a marketplace facilitator only. We are not a party to any agreement between food truck operators, caterers, and venues. We do not endorse, guarantee, or assume responsibility for any user, service, product, or event listed on or facilitated through the Platform. We do not verify the accuracy of user-provided information, including but not limited to business licenses, permits, insurance coverage, food safety compliance, or venue suitability.
Any transaction, agreement, or dispute between users is solely between those users. We are not responsible for any loss or damage arising from any user's reliance on information provided by another user through the Platform.
11. Assumption of Risk
You acknowledge and agree that participation in food truck events, catering services, and venue-based activities involves inherent risks, including but not limited to food-related illness, allergic reactions, personal injury, property damage, inclement weather, and other hazards. By using the Platform, you voluntarily assume all risks associated with any event, booking, or transaction facilitated through the Platform. This assumption of risk applies to the fullest extent permitted by North Carolina law.
12. Intellectual Property
The Platform, including its design, logos, text, graphics, software, and all other content (collectively, "Platform Content"), is the property of CLT Food Truck Events and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any Platform Content without our prior written consent.
By uploading content to the Platform (including but not limited to logos, photos, and business descriptions), you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.
13. Prohibited Conduct
You agree not to: (a) use the Platform for any unlawful purpose; (b) impersonate any person or entity; (c) submit false, misleading, or fraudulent information; (d) interfere with or disrupt the Platform or its servers; (e) attempt to gain unauthorized access to any portion of the Platform; (f) use the Platform to send unsolicited communications or spam; (g) scrape, harvest, or collect user data without authorization; (h) circumvent or manipulate the booking or payment system; (i) engage in any conduct that restricts or inhibits any other user from using the Platform.
14. SMS Communications & Notifications
Program Name: CLT Food Truck Events SMS Notifications
Program Description: By creating an account and opting in during registration, you consent to receive transactional SMS/text message notifications from CLT Food Truck Events. Message types include booking confirmations, booking approvals and denials, venue invitations, payment alerts, 24-hour booking reminders, catering inquiry notifications, cancellation confirmations, referral credit alerts, account status updates, and profile completion reminders.
Message Frequency: Message frequency varies based on your account activity. You may receive multiple messages per day during periods of active bookings or platform activity.
Message & Data Rates: Msg & Data rates may apply. Contact your wireless carrier for details.
Opt-Out: To stop receiving SMS notifications from CLT Food Truck Events, reply STOP to any message. You will receive a confirmation and no further messages will be sent. To re-enable SMS notifications, reply START.

SMS notifications are transactional in nature and are sent only in response to platform activity. We do not send promotional or marketing SMS messages.
15. Account Suspension & Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or illegal activity, accumulation of cancellation strikes, failure to maintain required credentials, or conduct that we determine is harmful to other users or the Platform. Upon termination, your right to use the Platform ceases immediately. Any outstanding payment obligations survive termination. Active sponsorship fees are non-refundable upon termination.
16. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of such courts.
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@cltfoodtruckevents.com. If the dispute is not resolved within 30 days of your initial contact, either party may proceed with formal legal action as permitted under these Terms.
17. North Carolina Specific Provisions
In accordance with the North Carolina Unfair and Deceptive Trade Practices Act (N.C.G.S. § 75-1.1), we endeavor to conduct all business dealings in a fair and transparent manner. Nothing in these Terms is intended to waive any rights that cannot be waived under North Carolina law. If any provision of these Terms is found to be unenforceable under North Carolina law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
In accordance with the North Carolina Identity Theft Protection Act (N.C.G.S. § 75-60 et seq.), we implement reasonable security procedures to protect your personal information. In the event of a security breach involving your personal information, we will notify you as required by N.C.G.S. § 75-65.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and CLT Food Truck Events concerning your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
